Powers of the President Resolution

The Board of Directors of the Homes Association of Cedar Hills (the Association) hereby adopts the following resolution to reaffirm and restate resolutions previously adopted by the Board on July 8, 2014, and September 19, 2017:

RESOLVED,

Pursuant to Article VI of the bylaws, the President is the chief executive officer of the Association and has general supervision, direction, and control of the business of the Association, subject to the control of the Board of Directors.  He has the general powers and duties of management usually vested in the office of president of a corporation and shall have such other powers and duties as may be prescribed by the Board of Directors.  Despite this clear delineation of the authority of the President in the bylaws, some members have not been clear that the President has authority, without specific prior action or authorization of the Board, to oversee and commence enforcement efforts against members who are in violation of the Association’s Restrictions or have failed to pay their assessments.

Therefore, to clarify the powers of the President with respect to actions to enforce compliance with the Restrictions, impose fines, and collect assessments and fines, the Board of Directors of the Association hereby expressly authorizes the President:

a.    to take such actions as he sees fit, to enforce compliance with the Restrictions of    the Association by the members of the Association and their invitees, including, without limitation, the imposition of fines and the collection of assessments and fines; and

b.    to direct the employees and attorneys of the Association to pursue such enforcement of compliance with the Restrictions, the imposition of fines, and the collection of assessments and fines when, and in such manner, as he or she determines is warranted; and

c.    to report to, consult with, the Board and the Association’s attorney regarding such actions at its regular meeting at which the Association’s attorney is present;

and further that the Board of Directors hereby confirms and ratifies all such actions as the President has heretofore taken to enforce compliance with the Restrictions by the members of the Association and their invitees, the imposition of fines, and the collection of assessments and fines.
